Website Terms of Use
Version: Lean v1.0 (draft 14 Oct 2026)
Lean version 1.0. Draft for solicitor review.
These terms apply to your use of the GreenBook website and platform at [website address] (the “Site”), operated by GreenBook Ltd, registered in England and Wales (company number [●]), registered office [address], contact [email address].
1. Not a contract for supply. These terms cover use of the Site only. Hirers, contractors and umbrella companies are bound by the separate agreement they accept (the Hirer Terms of Business, the PSC Terms of Engagement, or an umbrella company's own terms) and, where required, a Key Information Document. If there is a conflict, that agreement prevails. Nothing on the Site is an offer of work or a guarantee of an Assignment, a rate or a payment date.
2. Payment wording. GreenBook's 14-day payment commitment to contractors is set out in the Terms of Engagement and runs from Approval or Deemed Approval of the timesheet's undisputed amount. Any summary on the Site is for convenience; the contractual wording governs.
3. Existing suppliers. A hirer's record of an existing external supplier is visible only to that hirer, is for workforce visibility only, and creates no Assignment, fee or GreenBook responsibility for that engagement.
4. Accounts. You must be a business or an individual aged 18 or over acting for your profession or trade. Keep your login confidential, give accurate details, and tell us promptly of any unauthorised access. If you act for a company, you confirm you have authority to bind it. Acceptance through your account is intended to be legally binding and is recorded. We may suspend an account for breach, security or legal reasons.
5. Your content. You keep ownership of what you upload but give GreenBook a licence to host and use it to operate the Site, make Assignments and comply with the law. You must not upload false or unlawful material or another person's data without a lawful basis.
6. Acceptable use. Do not misuse the Site: no fraud, false timesheets, misrepresenting identity, qualifications, right to work or tax status, scraping, circumventing the platform's checks, or introducing malware. Do not use the Site to avoid a fee properly due under a GreenBook agreement.
7. Intellectual property. The Site, software and the GreenBook name and logo belong to GreenBook or its licensors. Do not copy or reuse them without consent.
8. Liability. Nothing limits liability for death or personal injury caused by negligence, fraud, or anything that cannot lawfully be limited. Otherwise GreenBook is not liable for indirect or consequential loss arising from use of the Site, and its total liability under these terms is limited to £[●]. The Site is provided “as is”. This does not affect any agreement in clause 1.
9. Changes, complaints and law. We may change the Site and these terms and will notify you of material changes. Complaints go to [email address]; we aim to acknowledge within [5] working days. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, without depriving any consumer of rights under the law of where they live. Our Privacy Policy explains how we use personal data.
